Find it before
they do.
If you are preparing to sell your business or raise funding, we review your technology before the buyer's advisers do, so you have time to deal with the awkward questions while the people asking them are still on your side of the table.
The problem
Your systems look different from the other side of the table.
You may have a platform that has served the business perfectly well for years, but a buyer will want to know whether it can support their plans, what it will cost to maintain and who they will depend on to keep it running. Once they discover that the answer involves one developer, an unsupported library and a spreadsheet nobody admits to owning, something your team has learned to live with becomes a risk they want reflected in the deal.
Many of those issues can be fixed or explained, provided you have enough time to do it properly. Discovering them in week three of diligence gives you rather less room to manoeuvre, because you are now defending a decision while the buyer is considering a lower price, a bigger escrow or another warranty. Having sat on both sides of more than fifty transactions, we have seen how much harder that conversation becomes when the seller is hearing about the problem for the first time.
What we look at
Know what you will need to answer.
Over two weeks, we review your systems, data and team dependencies to identify the issues likely to matter to a buyer and work out what you can sensibly do about them before diligence begins.
Architecture and cloud
We examine how the platform is built, what it costs to run and whether it can support the growth you are describing, including the compromises that made sense when the business was smaller.
People and dependencies
We look at who keeps the systems running and how much depends on knowledge only they hold, so you can explain how the business would cope if they left.
Data, security and AI
We trace where data sits and who can access it, then examine what your AI features actually do, how their outputs are checked and whether you can support the claims in your sales deck.
What you get
A plan you can act on before the buyer arrives.
- 01
Fix it now
We prioritise the work worth doing before diligence, taking account of what it costs to fix, how long it will take and the consequences of leaving it alone.
- 02
Explain it credibly
Where a decision was a reasonable trade-off, we help you set out why you made it, what its limitations are and how you manage them today.
- 03
Disclose it on your terms
Where an issue needs to be disclosed, we help you explain it clearly alongside its implications and your plans to address it, rather than leaving the buyer to draw their own conclusions.
The review also gives you a pack of documentation for the data room, so your team can answer questions from a consistent account of how the systems work rather than reconstructing it from old emails while trying to run the business.
Thinking about selling in the next 18 months?
Starting while you still have time to make changes gives you more options than waiting until the deal is under way. Give us half an hour to talk through your business and your plans, and we will give you an initial view of where a buyer is likely to look and what you should prepare.
